3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements.

4. Account Registration

To access certain features of our Services, you may need to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your account credentials secure and confidential
• Notify us immediately of any unauthorized use of your account

5. Subscription Plans and Payments

5.1 Free Trial: We may offer a free trial period for new users. Free trials are subject to the terms specified at the time of sign-up and may be limited to one per customer.

5.2 Paid Subscriptions: After your free trial expires (if applicable), you will be charged according to the subscription plan you selected. Subscription fees are billed in advance on a monthly or annual basis.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT THE AI WILL PROVIDE SPECIFIC RESULTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LABX AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless LabX AI, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of another party.

13. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will cease immediately. Sections that by their nature should survive termination will remain in effect.

14. Governing Law and Dispute Resolution

14.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions.

14.2 Dispute Resolution: Any disputes arising out of or related to these Terms or the Services shall be resolved through good faith negotiations. If negotiations fail, disputes shall be subject to the exclusive jurisdiction of the courts in Nairobi, Kenya.

15. Miscellaneous

15.1 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and LabX AI regarding the Services.

15.2 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

15.3 Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

15.4 Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
